SimpleTrade.ai Legal
Terms of Service
SimpleTrade.ai LLC
1. Agreement to Terms
Welcome to SimpleTrade.ai ("SimpleTrade.ai," "Company," "we," "our," or "us").
These Terms of Service ("Terms") govern your access to and use of the SimpleTrade.ai authenticated web application, dashboard, and software features, AI functionality, analytics, monitoring, brokerage integrations, Paper Trading, Live Trading, Automated Trading, and related functionality actually made available by SimpleTrade.ai from time to time (collectively, the "Service").
By creating an account, purchasing a subscription, clicking "I Agree," or otherwise affirmatively accepting these Terms through a SimpleTrade.ai acceptance control, you acknowledge that you have read, understood, and agree to be bound by these Terms. A Brokerage Provider's OAuth, API, credential, token, or other connection authorization is a separate authorization event and does not by itself constitute acceptance of these Terms, the Brokerage Authorization Agreement, or the Automated Trading Acknowledgment.
If you do not agree to these Terms, you must immediately discontinue use of the Service.
2. Definitions
For purposes of these Terms:
AI Output means information generated through an artificial intelligence or machine-learning feature, including an analysis, summary, score, ranking, forecast, insight, notification, or other model-generated content. AI Output does not include an Order Instruction generated solely from deterministic logic and parameters configured by the User.
Connected Brokerage Account means a brokerage account that a User elects to connect to the Service through a supported Brokerage Provider.
Market Data means securities prices, quotes, historical information, news, financial metrics, technical indicators, and other market-related information obtained or displayed through the Service.
Subscription Plan means a paid or unpaid access tier offered by SimpleTrade.ai with the features, limits, term, and price presented at checkout or in the applicable order form.
Trading Signal means a software-generated alert, score, ranking, indicator, or other market-related output presented through the Service. A Trading Signal is distinct from an Order Instruction.
User Content means information, files, settings, configurations, prompts, strategies, and other materials submitted by users.
Automated Trading means functionality that, after a User enables it, may generate and transmit Order Instructions without requiring the User to approve each individual order. Brokerage Provider means the third-party broker that maintains the Connected Brokerage Account and accepts, routes, executes, clears, or settles orders. Live Trading means trading activity submitted to a live Connected Brokerage Account. Order Instruction means an instruction generated from User Configuration and transmitted through a supported brokerage integration for submission to the Brokerage Provider. Paper Trading means simulated trading that does not place an order in a live brokerage account. User Configuration means the strategy rules, parameters, limits, selections, and settings affirmatively established or enabled by the User.
Customer means the person or entity that purchases or is provided a Subscription Plan. A Customer may have one or more authorized Users where the Service permits organizational accounts.
User means an individual who accesses or uses the Service or an authorized individual user of an enterprise Customer account.
3. Eligibility
You may use the Service only if:
- (a) You are at least eighteen (18) years old;
- (b) You have the legal capacity to enter into binding agreements;
- (c) Your use of the Service does not violate any applicable law;
- (d) You are not subject to U.S. sanctions, export restrictions, or prohibited-party lists.
The Service is not intended for minors.
4. Description of Service
SimpleTrade.ai provides technology tools that may include:
- (a) AI-powered market analysis;
- (b) Trading intelligence and signals;
- (c) Portfolio monitoring;
- (d) Performance analytics;
- (e) Market research tools;
- (f) Trading automation capabilities;
- (g) Brokerage integrations;
- (h) Risk monitoring tools;
- (i) Educational content and documentation.
The Service provides software-based market analysis, analytics, monitoring, research, AI functionality, and, where enabled, trading-automation tools. The legal characterization of particular securities-related functionality is outside these Terms.
5. Important Financial Disclosures
5.1 Securities-Related Information
The Service may present market analyses, Trading Signals, AI Output, research, analytics, and other securities-related information. These outputs may be incomplete, inaccurate, or unsuitable for a User's circumstances. A User is responsible for deciding whether to enable a strategy or feature and for monitoring the User's account and User Configuration. Nothing in the Service is tax, legal, or accounting advice.
5.2 Brokerage Functions
SimpleTrade.ai does not maintain the Connected Brokerage Account, receive or hold customer cash or securities, or clear or settle securities transactions. The Brokerage Provider performs brokerage functions for the Connected Brokerage Account under the User's agreements with that Brokerage Provider. Where the User has granted the applicable trading permission, SimpleTrade.ai may transmit Order Instructions to the Brokerage Provider through the supported integration.
5.3 Limited Technical Authorization
Connecting a brokerage account or enabling Automated Trading grants SimpleTrade.ai only the technical permissions described in the Brokerage Authorization Agreement. Those permissions do not authorize SimpleTrade.ai to withdraw customer assets or to exercise discretion outside the User Configuration.
5.4 User Evaluation
You are responsible for evaluating whether a feature, strategy, Trading Signal, or User Configuration is appropriate for your objectives, circumstances, and risk tolerance before enabling it and while it remains enabled.
5.5 User Configuration and Automated Orders
You decide whether to connect a brokerage account, enable Live Trading or Automated Trading, and establish the User Configuration. Once Automated Trading is enabled, Order Instructions may be generated and transmitted without your review or approval of each individual order. You remain responsible for maintaining and monitoring the User Configuration, risk limits, Connected Brokerage Account, and automated activity.
6. Artificial Intelligence Disclosures
6.1 AI Limitations
The Service may utilize artificial intelligence, machine learning models, quantitative algorithms, statistical methods, and predictive systems.
AI systems have inherent limitations and may generate outputs that are:
- (a) inaccurate;
- (b) incomplete;
- (c) misleading;
- (d) outdated;
- (e) inconsistent;
- (f) unsuitable for current market conditions.
6.2 Hallucination Risk
AI systems may produce information that appears authoritative but is inaccurate or unsupported.
Users must independently verify all AI-generated outputs before relying on them.
6.3 Model Drift
Market conditions change continuously.
AI models may become less effective over time and may not adapt immediately to changing market environments.
6.4 Oversight
AI Output should be independently evaluated before a User relies on it. Automated Trading may continue to operate without per-order approval after it is enabled, so Users must monitor enabled strategies and disable or modify them when appropriate. AI Output does not itself select the security, side, quantity, or timing of a Live Trading order.
7. Market Data Disclaimer
Market Data provided through the Service may originate from Brokerage Providers or independent market-data providers. Market Data may differ by source and may be subject to separate provider, exchange, display, non-display, derived-use, redistribution, or other licensing terms and restrictions. Market Data may be:
- (a) delayed;
- (b) incomplete;
- (c) inaccurate;
- (d) unavailable;
- (e) interrupted.
SimpleTrade.ai does not guarantee the accuracy, completeness, timeliness, or reliability of Market Data.
Users must independently verify information before making financial decisions.
8. Brokerage Integration Terms
8.1 Third-Party Brokers
The Service may integrate with third-party Brokerage Providers. A Connected Brokerage Account and the Brokerage Provider's brokerage services remain subject to the applicable Brokerage Provider's customer agreement, API or authorization terms, disclosures, trading rules, account restrictions, and other terms applicable to that account or connection. These Terms govern your use of the SimpleTrade.ai Service and do not replace those Brokerage Provider terms.
8.2 Provider-Approved Brokerage Connection
If you connect a brokerage account, you authorize SimpleTrade.ai to use the brokerage information and functions made available through the provider-approved connection or authorization method that you enable. A supported connection may use provider-issued access credentials, OAuth or access tokens, authorization grants, scopes or permissions, provider account identifiers, connection status, or similar authorization information supported by the applicable Brokerage Provider. SimpleTrade.ai does not request or receive your Brokerage Provider account password. You may revoke the connection through supported procedures. SimpleTrade.ai will not enable a public Live Trading connection through a Brokerage Provider unless the connection method and the technical, legal, regulatory, commercial, and provider-approval steps applicable to that use have been completed.
8.3 Assets Remain at Brokerage Provider
SimpleTrade.ai does not receive or possess cash or securities held in a Connected Brokerage Account. Those assets remain with the Brokerage Provider. This does not represent that the Service supports any particular asset class.
8.4 Brokerage and API Failures
Brokerage systems, APIs, exchanges, market data providers, cloud providers, and internet services may experience:
- (a) outages;
- (b) delays;
- (c) interruptions;
- (d) errors;
- (e) failures.
SimpleTrade.ai shall not be responsible for:
- (a) failed trades;
- (b) delayed trades;
- (c) duplicate trades;
- (d) missed trades;
- (e) rejected orders;
- (f) partial executions;
- (g) incorrect executions caused by third parties.
8.5 Live Trading Launch Gate
Live Trading is not publicly available unless and until SimpleTrade.ai has completed the applicable technical, brokerage-provider, legal, regulatory, and commercial approval steps. A feature shown in testing or in the authenticated application is not a representation that public Live Trading is enabled.
9. Account Registration and Security
Users are responsible for:
- (a) maintaining account confidentiality;
- (b) safeguarding credentials;
- (c) enabling MFA where available;
- (d) monitoring account activity.
Users must immediately notify SimpleTrade.ai of unauthorized access or suspected security incidents.
10. Subscription Plans and Billing
10.1 Subscription Plans
SimpleTrade.ai offers Professional, Enterprise, and Enterprise Plus paid Subscription Plans on monthly or annual billing cycles, as presented at checkout. Basic is a fourteen-day trial and does not require a payment method. Features, limits, eligibility, and prices presented at checkout or in an applicable order form govern.
10.2 Payment Processing; Taxes
Paid subscriptions are billed through Stripe or another payment processor identified at checkout. You authorize the payment processor to charge the payment method you provide for amounts due under your Subscription Plan. SimpleTrade.ai does not receive the full payment-card credentials handled by Stripe. You are responsible for transaction taxes that SimpleTrade.ai is legally permitted or required to collect.
10.3 Recurring Billing and Automatic Renewal
Unless checkout or an applicable order form states otherwise, each paid Subscription Plan automatically renews for successive monthly or annual periods matching the selected billing cycle until canceled. Checkout will disclose the recurring charge, billing frequency, and cancellation method before purchase.
10.4 Billing Cycle
Subscription fees are charged at the beginning of each billing period. The billing date may change when you change plans, when a payment fails, or when a change is disclosed before it takes effect.
10.5 Upgrades and Downgrades
An upgrade takes effect immediately and may result in a prorated charge or credit calculated by Stripe for the current billing period. A downgrade takes effect at the end of the current billing period. A downgrade may reduce available features, limits, storage, or functionality.
10.6 Cancellation
You may cancel a self-service paid Subscription Plan through the supported account interface. Cancellation stops future renewal charges and becomes effective at the end of the then-current paid billing period.
10.7 Access After Cancellation
Paid features remain available through the end of the already-paid billing period unless access is suspended or terminated for another reason permitted by these Terms. The account then converts to the then-available unpaid status, if any, or loses access to paid features.
10.8 Refunds and Credits
Except where required by law or expressly stated at checkout, subscription charges are nonrefundable after they are charged, and cancellation does not create a prorated refund. SimpleTrade.ai may issue a discretionary refund or credit without creating an obligation to do so in another case.
10.9 Failed or Rejected Payments
If Stripe reports a subscription as past_due, unpaid, incomplete, canceled, or otherwise not entitled, the Service may restrict new BUY orders and AI-powered trading functionality while the account remains non-entitled. SimpleTrade.ai does not promise a customer billing grace period or a fixed retry schedule. A restriction for nonpayment does not cancel amounts already due.
10.10 Trial and Promotions
The Basic plan includes a fourteen-day trial without a payment method. SimpleTrade.ai may make promotion codes available, but no coupon, discount, or introductory price is promised unless it is expressly offered at checkout. Any offer will state its duration, price, conversion terms, and cancellation method.
10.11 Changes to Subscription Price or Plan
SimpleTrade.ai may change a Subscription Plan prospectively. For an existing recurring paid subscription, a price increase takes effect no earlier than the first renewal occurring at least thirty days after notice, subject to any longer period required by law.
10.12 Cancellation, Account Deletion, Brokerage Disconnection, and Data Deletion Are Different Actions
Canceling a Subscription Plan stops future renewals but does not itself delete the SimpleTrade.ai account, revoke brokerage authorization, cancel an order already transmitted, or require immediate deletion of information retained under the Privacy Policy. Disconnecting a Connected Brokerage Account disables the applicable integration but does not cancel the Subscription Plan or delete the account.
10.13 Account Deletion and Recovery
An account-deletion request immediately cancels an active Stripe subscription and begins a thirty-day recoverable soft-deletion period. Restoring the account during that period does not restore the canceled subscription. Final destructive deletion after day thirty remains subject to technical implementation, legal retention, backup cycles, and the Privacy Policy, and is not guaranteed until the deletion process is certified.
10.14 Enterprise and Separately Negotiated Terms
If an enterprise order form or agreement signed by SimpleTrade.ai conflicts with this Section 10, the signed agreement controls for that enterprise Customer to the extent of the conflict. The retail tier names Enterprise and Enterprise Plus do not by themselves create a negotiated business-to-business relationship or make the Data Processing Addendum applicable.
10.15 Lifecycle Terms
Subscription Cancellation means stopping future renewal of a Subscription Plan. Brokerage Disconnection means revoking or disabling the supported brokerage connection. Account Deletion means a deletion request handled under the Privacy Policy, subject to the thirty-day recovery period and lawful retention.
11. Acceptable Use
Users shall not:
- (a) violate laws or regulations;
- (b) manipulate markets;
- (c) engage in insider trading;
- (d) reverse engineer the Service;
- (e) scrape platform data;
- (f) share credentials;
- (g) interfere with platform operations;
- (h) exploit vulnerabilities;
- (i) use the Service for unlawful purposes.
12. Intellectual Property
All rights, title, and interest in the Service remain the exclusive property of SimpleTrade.ai LLC.
Users receive a limited, non-exclusive, revocable license to use the Service in accordance with these Terms.
13. Beta and Experimental Features
Beta, preview, research, experimental, and early-access features are provided strictly "AS IS."
Such features may:

No warranties apply to beta features.
14. Service Availability
SimpleTrade.ai does not guarantee uninterrupted availability.
The Service may experience:
- (a) maintenance;
- (b) outages;
- (c) upgrades;
- (d) interruptions;
- (e) performance degradation.
15. Third-Party Services
The Service may rely upon:
- (a) brokers;
- (b) market data providers;
- (c) cloud providers;
- (d) payment processors;
- (e) AI providers;
- (f) analytics providers.
SimpleTrade.ai is not responsible for the actions, omissions, availability, security, or performance of third-party services.
16. Privacy
Use of the Service is subject to the Privacy Policy.
17. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."
SIMPLETRADE.AI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:
- (a) MERCHANTABILITY;
- (b) FITNESS FOR A PARTICULAR PURPOSE;
- (c) NON-INFRINGEMENT;
- (d) ACCURACY;
- (e) RELIABILITY;
- (f) AVAILABILITY.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLETRADE.AI SHALL NOT BE LIABLE FOR:
- (a) TRADING LOSSES;
- (b) LOST PROFITS;
- (c) LOST OPPORTUNITIES;
- (d) DATA LOSS;
- (e) MARKET LOSSES;
- (f) AI ERRORS;
- (g) SIGNAL FAILURES;
- (h) BROKER FAILURES;
- (i) SERVICE INTERRUPTIONS;
- (j) INDIRECT DAMAGES;
- (k) CONSEQUENTIAL DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLETRADE.AI'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNTS THE CLAIMING USER PAID TO SIMPLETRADE.AI FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THE EXCLUSIONS AND CAP DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
19. Indemnification
To the extent permitted by law, you will indemnify and hold harmless SimpleTrade.ai LLC and its officers, employees, contractors, and agents from a third-party claim to the extent arising from (a) your unlawful or unauthorized use of the Service; (b) your material breach of these Terms; (c) User Content that infringes a third party's rights; or (d) your unauthorized connection or use of another person's brokerage account. This obligation does not require you to indemnify a protected party for that party's own fraud, willful misconduct, or liability that cannot lawfully be shifted to you.
20. Termination and Suspension
SimpleTrade.ai may suspend or terminate access for fraud, abuse, material breach, nonpayment, security risk, suspected unlawful activity, or a legal or regulatory reason affecting the Service. Where reasonably practicable, SimpleTrade.ai will provide notice and an opportunity to cure a remediable issue. Immediate action may be taken when reasonably necessary to protect users, the Service, a Brokerage Provider, or legal compliance. Subscription cancellation, account closure, brokerage disconnection, and data deletion remain separate actions as described in Section 10.
21. Export Controls and Sanctions
Users may not access or use the Service in violation of U.S. export control laws, sanctions regulations, or trade restrictions.
22. Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-laws principles, except that mandatory consumer protections that cannot lawfully be waived remain applicable.
23. Arbitration Agreement
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS THE FORUM AND PROCEDURE FOR RESOLVING DISPUTES.
Except for a claim eligible for small-claims court and a request for temporary or preliminary injunctive relief necessary to protect rights pending arbitration, any dispute arising out of or relating to these Terms or the Service will be resolved by individual binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules then in effect. The Federal Arbitration Act governs the interpretation and enforcement of this Section.
The arbitration may proceed by documents, telephone, videoconference, or an in-person hearing as permitted by the applicable AAA rules. An in-person consumer hearing will occur in the county where the User resides or at another location the parties agree to, unless mandatory law or the AAA rules require otherwise.
Filing fees, case-management fees, and arbitrator compensation will be allocated under the applicable AAA Consumer Arbitration Rules and Consumer Arbitration Fee Schedule. SimpleTrade.ai will pay amounts the AAA rules or applicable law require it to pay.
You may opt out of this arbitration agreement by emailing [email protected] within thirty days after first accepting these Terms. The notice must include your name, the email address associated with your account, and an unambiguous statement that you opt out of the arbitration agreement. Opting out of arbitration does not affect the remaining Terms.
24. Class Action Waiver
To the fullest extent permitted by law, each party may bring claims only in an individual capacity and not as a plaintiff or class member in a class, collective, coordinated, or representative proceeding. If a court finally determines that a particular claim or remedy cannot lawfully be waived or arbitrated on an individual basis, that claim or remedy will proceed in court after the arbitrable matters are resolved.
25. Force Majeure
SimpleTrade.ai shall not be liable for delays or failures caused by events beyond its reasonable control.
26. Changes to Service
SimpleTrade.ai may modify, suspend, or discontinue any portion of the Service at any time.
27. Changes to Terms
SimpleTrade.ai may update these Terms periodically.
Revised Terms apply prospectively from the stated effective date. SimpleTrade.ai will provide reasonable notice of material changes. Where law or the nature of the change requires renewed assent, continued access will be conditioned on that assent.
